　　鑒于甲方合法擁有注冊商標的專用權，且該注冊商標已被評為商標。鑒于乙方致力于商標(國內馳名商標和省級著名商標)維權專項法律服務，且通過乙方加入的中國律師知識產權維權業務協作網，能在全國范圍內有效維護甲方的商標合法權益。為在中華人民共和國行政轄區內有效維護甲方的商標合法權益，甲乙雙方經友好協商，依據有關法律法規簽訂本合同，共同遵守。

　　第一條：委托事項

　　1、甲方聘請乙方擔任商標維權專項法律顧問，通過乙方加入的中國律師知識產權維權業務協作網各省、自治區、直轄市的成員所在中華人民共和國行政轄區內全面維護甲方的商標合法權益。

　　2、甲方委托乙方在全國范圍內為其提供法律服務的具體事項為：

　　(1)侵犯和損害甲方注冊商標的侵權行為。

　　(2)違反與甲方簽訂的有關商標合同的違約行為。

　　(3)甲方委托的其它法律服務事項。

　　第二條：授權權限

　　1、甲方對乙方的授權為特別授權，即乙方有權代為調查取證，申請證據公證，代為提起訴前賠償請求，進行調解。

　　2、甲方授權乙方在甲方的授權權限內，就甲方委托的事項對加入中國律師知識產權維權業務協作網各省、自治區、直轄市的成員所進行轉委托。甲方要求乙方轉委托的各受托成員所和各省、自治區、直轄市商標協會建立良好的合作關系。

　　3、乙方進行轉委托時對受托方可以特別授權，也可以一般授權。

　　第三條：代理方式

　　1、乙方的維權案件代理方式為全風險代理，即乙方自行負責墊付辦案差旅費用、調查取證費用、購買假冒商標產品費用、公證費用及公證人員差旅費用、訴訟費用、財產保全費用、申請執行費用和其它辦案開支等商標維權過程中所發生的一切費用。

　　乙方墊付的前款費用經調解結案或經法院判決結案由侵權人承擔的，執行到甲方帳上后，由甲方在五個工作日內全部轉帳匯入乙方指定帳號。

　　2、乙方自行承擔舉證不能或敗訴的責任，甲方對乙方因敗訴或不能執行等因素未能收回所墊付費用的，不承擔任何經濟責任。如法院判決由甲方承擔部分或全部訴訟費用的，甲方不需支付給乙方，而由乙方自行承擔。

　　第四條：律師費用

　　1、實際執行到甲方帳上賠償金總額的x%。

　　2、實際執行到甲方帳上的其它合理訴訟費用。

　　3、甲方在侵權人承擔的賠償金和其他合理訴訟費用實際執行到甲方帳上后五個工作日內，一次性將乙方應獲得的律師費用和其他合理訴訟費用轉帳匯入乙方指定帳號。

　　4、乙方專項法律顧問費用根據甲方的商標維權法律服務需求和乙方維權實際效果由甲乙雙方另行商定。

　　第五條：甲方的權利和義務

　　1、甲方享有如下權利：

　　(1)甲方有權對乙方或乙方轉委托的受托方的法律服務進行監督和指導。

　　(2)甲方發現乙方或乙方轉委托的受托方包括但不限于惡意串通第三方損害甲方利益時，有權單方終止對乙方的委托和單方終止對乙方轉委托的授權，并有權追究乙方和乙方轉委托的受托方的法律責任。

　　2、甲方應當履行如下義務：

　　(1)甲方應當將掌握的商標侵權信息及其他與委托事項相關的信息及時通報給乙方，甲方對提供的權利來源等證據材料及其它法律文書的真實性和合法性承擔法律責任。

　　(2)甲方應當將要求乙方維權的商標產品樣本提供一份給乙方，以便乙方進行對比和識別假冒商標產品。

　　第六條：乙方的權利和義務

　　1、乙方享有如下權利：

　　(1)乙方對甲方委托維權的商標具體特征享有知情權。

　　(2)乙方對甲方所掌握的商標侵權線索享有知情權。

　　(3)乙方對甲方所知曉的有利于乙方商標維權的其他情況享有知情權。

　　2、乙方應當履行如下義務：

　　(1)乙方應當嚴格遵守律師職業道德和執業紀律，依法維護甲方合法權益，不得以任何名義和任何方式損害甲方的名譽和商業信譽，不得惡意串通第三方和以任何其它方式損害甲方利益。

　　(2)乙方應當將在商標維權過程中掌握的相關信息以書面形式及時通報給甲方。

　　(3)乙方應當對在執業過程中知悉的甲方商業秘密予以保密。

　　第七條：特別約定

　　1、甲方應當在其生產的商品的外包裝或商品上標注乙方的名稱和維權電話，以利于乙方開展維權法律服務工作。

　　2、乙方應當在上為甲方的注冊商標產品進行宣傳，發布甲方的商標維權信息。

　　3、乙方與侵權人進行訴前調解或在法院主持下進行調解時必須在調解協議達成前就賠償金的具體金額取得甲方的書面認可。

　　4、乙方或乙方轉委托的受托方應當將所有的法院判決書、調解書和訴前調解書送交甲方存檔備查。

　　第八條：違約責任及爭議解決辦法

　　1、甲乙雙方應當全面履行本合同，違約方應當依法承擔違約責任。

　　2、甲乙雙方因本合同發生爭議，應當協商解決，協商不成的由甲方所在地人民法院管轄。

　　第九條：其它

　　1、本合同有效期三年，自年月日至年月日。合同期滿后經雙方協商可以續簽合同。

　　TRADEMARK LICENSING AGREEMENT

　　鑒于許可方擁有一定價值并經注冊的商標，且被許可方希望在制造、出售、分銷產品時使用該商標，雙方授權代表經友好協商，達成如下協議。

　　Whereas Licensor owns certain valuable registered trademarks;and Licensee hope to utilize the trademark upon and in connection with the manufacture, sale and distribution of the Contract Products; Both parties authorized representatives, through friendly negotiation, agree to enter into this Contract under the terms as stipulated below.

　　一、被許可方同意從許可方取得，許可方同意向被許可方授予單獨使用附件所指的注冊商標的許可權利，且只在制造和出售、分銷合同產品時使用。合同產品的名稱、型號、規格和技術參數詳見本合同附件。這種權利是獨占性的，是不可轉讓的權利。許可方同意在合同的有效期內不在合同有效區域內再授予別人銷售合同產品時使用這一商標。

　　The Licensee agree to obtain from Licensor, and Licensor agree to grant Licensee the right to utilize the Registered Trademark solely and only upon and in connection with the manufacture, sale and distribution of the Contract Products. The name, model, specification and technical notices of the Contract Products are detailed in Appendixto the Contract. The license and right are exclusive and untransferable. Licensor agrees that during the validity of this Contract, it will not authorize a third party to utilize the Registered Trademark upon and in connection with the manufacture, sale and distribution of the Contract Products in the same area specified in this Contract.

　　二、許可協議只在地區有效。被許可方同意不在其他地區直接或間接使用或授權使用這一商標，且不在知情的情況下向有意或有可能在其他地區出售協議下產品的第三者銷售該產品。

　　The license hereby granted extends only to. Licensee agrees that it will not make, or authorize, any use, direct or indirect, of the Name in any other area, and that it will not knowingly sell articles covered by this agreement to persons who intend or are likely to resell them in any other area.

　　三、許可使用的期限自年月日起至年月日止。若滿足協議條件，本協議期限每年自動續展，直至最后一次續展終止于年12月31日。始于年12月31日，本許可協議在每一期末自動續展一年，到下一年的12月31日止，除非一方在協議到期前30天以前書面通知另一方終止協議的執行。

　　四、許可方有權監督被許可方使用注冊商標的商品質量，被許可方應當保證使用該注冊商標的商品質量。

　　Licensor have the right to supervise the quality of the goods in respect of which the registered trademark,and Licensee shall guarantee the quality of the goods in respect of which the registered trademark is used.

　　被許可方同意合同產品將符合高標準，其試樣、外觀和質量將能發揮其最好效益，并能保護和加強商標名譽及其所代表的信譽。被許可方保證合同產品符合許可方所規定的質量標準，同時合同產品的生產、出售、分銷將符合銷售地的法律，并不得影響許可方以及其商標本身的名聲。

　　Licensee agrees that the Contract Products covered by this Contract shall be of high standard and of such style, appearance and quality as to be adequate and situated to their exploitation to the best advantage and to the protection and enhancement of the Trademark and good will pertaining thereto. The quality of the Contract Products should be up to the standard specified in the Contract, and will be in accordance with all laws where the Contract Products are manufactured, sold and distributed. The manufacture, sale and distribution of the Contract Products shall not reflect adversely upon the good name of Licensor or any of its program or the Registered Trademark.

　　為了達到這一目標，被許可方應在出售合同產品之前，免費寄給許可方一定數量的產品樣品，和其包裝紙箱及包裝材料，以取得許可方的書面同意。合同產品及其紙箱和包裝材料的質量試樣需得到許可方的同意。向許可方提交的每份產品得到其書面同意前不能視作通過。樣品按本條所述得到同意后，被許可方在未得到許可方的書面同意前不能作實質變動。而許可方除非提前天書面通知被許可方，否則不能撤銷其對樣品的同意。

　　For the end mentioned in Section 6.1 of the Contract, Licensee shall, before selling or distribution any of the Contract Products, furnish to Licensor free of cost, for its written approval, a reasonable number of samples of each Contract Product, its cartons, containers and packing and wrapping material. The quality and style of the Contract Products as well as of any carton, container or packing and wrapping material shall be subject to the approval of Licensor. Any item submitted to Licensor shall not be deemed approved unless and until the samples are approved by Licensor in writing. After samples have been approved pursuant to this paragraph, Licensee shall not depart therefrom in any material respect without Licensor’S prior written consent, and Licensor shall not withdraw its approval of the approved samples except ondays prior notice to Licensee.

　　在被許可方開始出售合同產品后，應許可方的要求，將免費向許可方提供不超過件的隨機抽樣樣品及相關的紙箱、包裝箱和包裝材料。

　　From time to time after Licensee has commenced selling the Contract Products and upon Licensor’s request, Licensee shall furnish without cost to Licensor not more thanadditional random samples of each article being manufactured and sold by Licensee hereunder, together with any cartons, containers and packing and wrapping material used in connection therewith.

　　五、被許可方必須在使用該注冊商標的商品上標明自己的企業名稱和商品產地。

　　Licensee must mark its company name and production origin on the production with its registered trademark.

　　六、許可方應在合同簽訂的同時，向被許可方提供注冊商標的名稱、內容以及許可方向國申請注冊的有關情況。

　　The name, content and related situation which Licensor applied for the registration fromTrademark Office shall be provided by Licensor to Licensee while the Contract is signing.

　　七、在本合同中被許可方使用該注冊商標，無需支付對價。

　　In this contract, the licensee use the Registered Trademark for free.

　　八、許可方保證是本合同注冊商標的合法持有者，并且有權授予被許可方使用，如果在合同的執行過程中一旦發生第三方指控侵權時，則由許可方負責與第三方交涉，并承擔由此引起的一切法律和經濟上的責任。

　　Licensor guarantees that Licensor is the legitimate owner of the RegisteredTrademark under the Contract, and that Licensor is lawful in a position to authorize Licensee to utilize the Registered Trademark upon or in connection with manufacture, sale and distribution of the Contract Products. In the course of implementation of the Contract, if any third party accuses Licensee of infringement, Licensor shall be responsible for approaching the third party about the accusation and bear all the economic and legal responsibilities which may arise.

　　九、如果被許可方在達成協議后月內未開始生產和銷售合同產品，許可方可書面通知被許可方終止合同。

　　If Licensee shall not have commenced in good faith to manufacture and distribute in substantial quantities all the Contract Products withinmonths after the date of the effectiveness of this Contract, Licensor have the right to terminate the Contract.

　　十、任何一方違反本合同條款下的義務，另一方在提前天書面通知對方后有權終止合同，除非違約方在天內對其違約行為所造成的損失作出全部賠償，令對方滿意。

　　If one of the parties to this Contract violate its obligations under the terms of this Contract, the other one shall has the right to terminate the Contract upondays’notice in advance, and such notice of termination shall become effective unless the break promiser shall completely remedy the violation within theday period.

　　十一、因執行本合同所發生的或與本合同有關的一切爭議，雙方應通過友好協商解決。如雙方通過協商不能達成協議時，則應提交中國國際經濟貿易仲裁委員會分會，按照申請仲裁時該會現行有效的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。爭議的解決適用中華人民共和國法律。仲裁費由敗訴方負擔。在爭議的處理過程中，除正在進行仲裁的部分外，合同的其他部分將繼續執行。

　　All disputes in connection with or in the execution of the Contract shall be settled through friendly consultation by both parties. In case no settlement to disputes can be reached through friendly consultation by both parties, the disputes shall be submitted to China International Economic and Trade Arbitration Commission, Shenzhen Commission for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The arbitration fee shall be borne by the losing party. In the course of settling disputes, the Contract shall be continuously executed by both parties except for the part which is under arbitration.
