　　在履行協議過程中，如產生爭議，雙方應友好協商解決。若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。

　　根據《中華人民共和國民法典》及有關規定，經雙方友好協商，達成一致意見，簽訂本合同。

　　一、甲方委托乙方制作服裝系列產品，具體規格型號、數量、單價及價格詳見附后清單。

　　二、產品質量標準、特殊工藝要求及費用負擔：。

　　三、交貨時間及方法：乙方收到甲方預付款個工作日內交貨，送達方式另行協商確定，交貨時由甲方確認，并在乙方的送貨單上簽字。

　　四、驗收標準及期限：甲方自收貨日內按樣衣標準進行驗收。如有質量問題，應在此間提出，逾期由甲方自行承擔。

　　五、包裝要求及費用負擔：

　　八、結算方式及期限：甲方自收貨日內以現金或轉帳的方式付清貨款。

　　九、服務承諾：

　　1、產品交付使用一月內，如因乙方原因出現的產品質量問題，乙方負責調換、修改，費用由乙方負擔。

　　2、本次批量生產之后，如甲方提出增補制作要求，在布料規格質量及價格與本次產品相同的基礎上，乙方依樣衣標準制作，經雙方協商另簽訂合同。

　　十、違約責任：

　　1、乙方加工生產以甲方確認的樣衣為準，中途如因甲方原因提出更換布料及款式、色彩等，由此產生

　　的責任及費用由甲方承擔并相應延長交貨日期。甲方未按約定支付預付款，乙方可以不予制作并相應延長交貨期限，直至甲方交付預付款后，按合同相應要求開始制作;甲方未按約定時間交付貨款，甲方應按欠交貨款的5%/月利率向乙方交納違約金。

　　2、中途如因乙方原因提出的需要更換布料及款式、色彩等需征得甲方同意，否則由此產生的的責任及費用由乙方承擔，如需延長交貨日期，由雙方另行協商。

　　十一、由于不可抗力災害和確非一方本身的原因而不能履行合同時，可以免除違約責任。

　　十二、其他未盡事宜，甲乙雙方協商解決。

　　十三、本合同一式二份，雙方各執一份，自雙方簽字之日生效。交易完畢本合同自行作廢。
