　　訂立合同如下：

　　第一條 合同標(biāo)的賣方賣出、買方購入商品。商品應(yīng)符合下文第四條款中所確定的清單1.該清單為本合同的附件，是本合同不可分割的組成部分。

　　第二條 價格和合同總金額在清單1中所載明的商品價格，以美元計價。本合同總金額為_________元。

　　商品價格包括運(yùn)抵_________的一切費(fèi)用，同時包括在_________境外預(yù)付的包裝、標(biāo)記、保管、裝運(yùn)、保險的費(fèi)用。

　　第三條 供貨期限和日期商品應(yīng)賣方銀行通知保兌的、與第二條所列金額相符的有效信用證時起60天內(nèi)從公司運(yùn)往_________.

　　賣方有權(quán)提前供貨，也有權(quán)視情況一次或幾次供貨。

　　第四條 商品品質(zhì)

　　商品品質(zhì)和數(shù)量由買賣雙方以書面協(xié)議確定，在本合同附件清單1中載明。清單1附在本合同上(見第一條)。

　　第五條 包裝和標(biāo)記商品包裝應(yīng)符合規(guī)定的標(biāo)準(zhǔn)和技術(shù)條件，保證貨物在運(yùn)輸作中所做的必要處理過程中完好無損。

　　每件貨物上應(yīng)有以下標(biāo)記：

　　(1)到達(dá)站名稱;

　　(2)賣方名稱;

　　(3)買方名稱;

　　(4)貨件號;

　　(5)毛重;

　　(6)凈重;

　　(7)體積(用立方米表示)。

　　第六條 支付買方應(yīng)在本合同簽訂后_________個工作日內(nèi)開立以賣方為受益人、不可撤銷的、可分割的、可轉(zhuǎn)讓的跟單信用證。該信用證的總金額在合同第二條中載明，其有效期至少_________天。

　　信用證由賣方選擇的、法律上承認(rèn)的_________銀行開立并確認(rèn)。以信用證付款憑賣方向銀行提交以下單據(jù)進(jìn)行：

　　(1)發(fā)票一式三份;

　　檢查人員的結(jié)論是最終結(jié)論、買賣雙方不得對此有爭議。

　　余下部分買方可以拒收和退還，買方應(yīng)單獨保管其拒收的商品，并對此承擔(dān)責(zé)任，便于賣方、供貨人和檢查人員進(jìn)行可能的檢查。如果確定拒收成立，對商品的責(zé)任自動轉(zhuǎn)稱給賣方，由賣方自行決定商品的處理，商品的保管費(fèi)由供貨人支付。

　　第八條 保險根據(jù)上文第二條由_________對商品在運(yùn)抵_________港之前進(jìn)行保險。

　　第九條 品質(zhì)保證商品品質(zhì)應(yīng)符合清單1(見上文第四條)。買方?jīng)]有義務(wù)接收不符合清單1(見第四條)的商品。

　　買方可以不加解釋和不出示證據(jù)退還未被接收的商品(見下文第十條)。

　　根據(jù)下文第十條，賣方應(yīng)在收到買方理由充分的索賠書時起30天內(nèi)如數(shù)更換未被接收的商品，以保證完全按照本合同規(guī)定運(yùn)送貨物。

　　第十條 索賠商品運(yùn)到時，買方有權(quán)就商品的數(shù)量向賣方提出索賠(見第七條)，反之，買方接收共同指定的檢查員確定的數(shù)量的商品。買方可以就商品品質(zhì)不合格向賣方提出索賠。所有運(yùn)抵的商品如果沒有以適當(dāng)?shù)姆绞骄苁栈蛲嘶兀�都被認(rèn)為買方已經(jīng)接收。

　　有充分理由退還和拒收的商品都被認(rèn)為賣方供貨不足，同時免除對買方就拒收商品的支付或賠償提出任何異議。檢查員最終確定有充分理由拒收和退回商品的數(shù)量。

　　在商品原封不動或無損壞退還賣方的情況下，未超出檢查員確定的界限的商品的拒收，無需經(jīng)商品不合格證明，在規(guī)定的期限內(nèi)，根據(jù)必需的手續(xù)，應(yīng)由賣方無條件承認(rèn)。

　　買方索賠函用掛號信寄給賣方。

　　就某一批商品提出索賠，不能成為索賠方拒收和拒付根據(jù)本合同所規(guī)定的其它應(yīng)供應(yīng)的商品的理由。

　　第十一條 不可抗力出現(xiàn)不可抗力，即火災(zāi)、自然災(zāi)害、封鎖、禁止進(jìn)出口和其它合同雙方人力不可抗拒的情況造成合同某一方不能完全或部分履行合同義務(wù)時，按不可抗力與其后果存在的時間推遲履行合同義務(wù)。

　　如果上述情況與其后果持續(xù)達(dá)三個月以上，任何一方都有權(quán)拒絕繼續(xù)履行本合同項下的義務(wù)。在此情況下，任何一方都無權(quán)要求補(bǔ)償可能的損失。

　　由不可抗力造成不能履行合同義務(wù)的一方應(yīng)盡快將妨礙履行義務(wù)的不可抗力的出現(xiàn)和終止情況通知另一方。由賣方或買方國有關(guān)商會出具的證明是上述不可抗力情況出現(xiàn)的必需證明。

　　第十二條 罰則如違反本合同規(guī)定的貨物抵達(dá)期限，賣方應(yīng)向買方支付罰金，罰金數(shù)額規(guī)定如下：

　　(1)在最初三周內(nèi)每過期一個日歷周支付未交商品總金額的1%;

　　(2)以后每過期一個日歷周支付未交商品總金額的2%，但罰金總額不能超過未交商品總金額的15%。

　　第十三條 其它條件任何一方在沒有征得另一方書面同意的情況下不得將自己對本合同的權(quán)利和義務(wù)轉(zhuǎn)讓給第三者，盡管信用證可以轉(zhuǎn)讓，是可以按規(guī)定程序轉(zhuǎn)讓的。

　　對合同的一切修改和補(bǔ)充意見只有以書面形式形成并經(jīng)雙方簽字后才有效。

　　根據(jù)平等互利原則，______________有限公司與______________有限公司友好協(xié)商特約簽定本合同。

　　檢驗條款： commodity inspection

　　索賠條款： discrepancy and claim

　　any claim by the buyers regarding the cargo shall be supported by surveyreport issued by a surveyor approved by the seller a nd lodged within 45 daysafter the arrival of the cargo at the port of destinaton. the seller will notconsider claims in respect of matters within responsibility of insurance companyo r shipping company.

　　should the seller fail to make delivery on time, the buyer shall agree topostpone the delivery on the conditon that the seller agrees of pay a penaltywhich shall be deducted by the paying bank at the time of payment. the rate ofpenalty is charged at 0.5% of the total value of the cargo whose delivery hasbeen delayed for every week, odddays less than a week should be counted as aweek. but the total amount of penalty shall not exceed 5% of the total value ofthe cargo involved in the late delivery. in case the seller fail ot makedelivery 10 weeks later than the time of shipment stipulated on the contract,the buyer shall havbe the right to cancel the contract a nd the seller shallstill pay the aforesaid penalty to the buer without delay.

　　quality / quantity discrepancy a nd claim:

　　in case the quality and/or quantity / weight are found the buyers to be notin conformity with the contract after arrival of the goods at the port ofdestination, the buyers may lodge claim with the sellers supported by surveyreport issued by an inspection organizaiton agreed upon by both parties, withthe exception, however, of those claims for which the insurance company and/orthe shipping company are tobe held responsible. claim for quality discrepancyshould be filed by the buyers within 30 days after arrival of the goods at theport of destination, while for quantity/weight discrepancy claim should be filedby the buyers within 15days after arrival of the goods at port of destination.the sellers shall, within 30 days after receipt of the notification of theclaim, aend reply to the buyers.索賠期限： validity of claim
