1. RENT CONTENT

第二條 租賃期限
2. TERM OF CONTRACT
2.1 租賃期限：甲乙雙方商定,租賃期限自年月日起至24：00止,共力影響導(dǎo)致的合同終止情形外，任何一方不得破壞租賃期限的完整和連續(xù)。 2.1 CONTRACT PERIOD: After both parties agreed, the term of contract is: stcontract terminated and the force majeure due to the influence of the contract to be terminated, either parties can not destroy the integrity and continuity of the contract.

2.4 CONTRACT TERNIMATION
2.4.1乙方有如下情形之一時,甲方有權(quán)提前中止合同,收回商鋪：
a, 乙方利用該商鋪從事非法活動或損害公共利益的;
b, 乙方拖欠租金超過

第三條 租金及其支付方式和其它費用
3. RENTAL, MODE OF PAYMENT AND OTHER CHARGES
3.1 年租金總額：甲乙雙方商定,租賃期內(nèi)該商鋪的年租金為￥________(大寫：人民幣_____________________圓整)，合同期限內(nèi)無浮動。

第四條 招牌設(shè)置
4. SHOP SIGN SETTING
甲方同意乙方在符合國家法律、法規(guī)、政府規(guī)章和規(guī)范性文件的前提下，在租賃商鋪的室內(nèi)外安裝設(shè)置帶有其公司標(biāo)志的招牌等廣告裝置(例如帶照明的透明廣告燈箱、立牌和戶外廣告招牌等)，并協(xié)助乙方做好跟物業(yè)裝修申請、施工以及廣告設(shè)置的交涉工作。

5.1 甲方的責(zé)任和權(quán)利

5.2 乙方的責(zé)任和權(quán)利
a,合同有效期內(nèi),乙方對所租賃的商鋪及配套設(shè)施擁有合法使用權(quán);

b,乙方應(yīng)遵守國家法律,法規(guī),依法經(jīng)營;

e,租賃期滿或者解除合同時,所屬乙方的財物，均由乙方自行處理，甲方不得以任何理由進行任何形式的干涉;
e, When the contract be expired or terminated, all the properties owned by Part B, Part B have the rights to handle the properties, Part A can not interfere with any reason in any modality;
f,租賃期滿或者解除合同時,由甲乙雙方共同檢查商鋪和配套設(shè)施,檢查無
異議后,商鋪交還甲方。如發(fā)現(xiàn)有損壞的,則由乙方照價負(fù)責(zé)賠償。

第六條 出租方和承租方的變更
6. PARTIES CHANGE
6.1 產(chǎn)權(quán)人與承租人：合同期內(nèi),甲方和乙方中任何一方法定代表人(或產(chǎn)權(quán)人)變更、企業(yè)遷址、合并,不影響本合同繼續(xù)履行。變更、合并后的一方即成為本合同當(dāng)然執(zhí)行人,并承擔(dān)本合同的內(nèi)容之權(quán)利和義務(wù);
6.1 OWNER AND RENTER: During contract period, either of both parties’ legal representative(or property owner) be changed, company moved or

6.2 轉(zhuǎn)租:合同期內(nèi),乙方如欲將租賃的商鋪轉(zhuǎn)租給第三方時,必須事先征得甲方同意,并由三方書面確認(rèn),取得使用權(quán)的第三方成為本合同的當(dāng)然乙方,繼續(xù)履行本合同;
6.2 SUBLEASE: During contract period, if Part B want sublet the shop to other parties, should consent by Part A and get the written confirm, the party who get the using rights, will be the Part B, continue perform this contract;
6.3 甲方欲出售房屋，必須在三個月前書面通知乙方，并且要保證租賃期限的完整。
6.3 When the Part A want sell the shop, must written inform Part B at least 3 months before, and must issue the rent period in the contract.
第七條 違約及處理
7. DEFAULT AND DISPOSE
7.1 任何一方未能履行本合同規(guī)定的條款的,均視為違約;
7.1 Either parties can not perform the rules and conditions in the contract, all deemed to be default;
7.2若乙方違約，甲方有權(quán)提前解除合同，并無需退還已繳納的房屋租金;
7.2.If Part B defaulted, Part A have the rights to terminate the contract and do not need pay back the paid rental;
7.3若甲方違約，乙方有權(quán)提前解除合同，且甲方必須雙倍退還乙方已繳納但未完成使用期限的全部租金，并賠償乙方裝修費。裝修費賠償標(biāo)準(zhǔn)：若第一年內(nèi)違約，賠償全部裝修款(100%)，以實際裝修情況計算;若第二年違約。賠償裝修款的70%，以實際裝修情況計算;若第三年違約，賠償裝修款的50%，以實際裝修情況計算;

7.4:違約方逾期向守約方賠付違約金或逾期向守約方賠償經(jīng)濟損失的,每逾期一天,守約方有權(quán)向違約方加收實欠違約金總額1%的滯納金;

7.5:因不可抗拒的因素引起本合同不能正常履行時,不視為違約,雙方互免承擔(dān)違約責(zé)任。

第八條 合同生效及糾紛處理

幣元，押金于乙方退租后全額退還。退租后雙方確定乙方應(yīng)向甲方支付任何費用的，優(yōu)先從押金中扣除。任何情況下，除非乙方書面同意，甲方不可將押金抵作租金。
第五條交房及條件
一、甲方應(yīng)于年月日或以前將上述房屋交付給乙方，延期交房的，甲方應(yīng)按每日______元向乙方支付違約金，延遲交房超過10日的，乙方有權(quán)單方終止本協(xié)議。
二、房屋交付時的狀態(tài)應(yīng)當(dāng)符合乙方立即進行裝潢的要求，包括房屋已經(jīng)騰空、水、電有足夠的容量并暢通、房屋的給水排水系統(tǒng)正常、廁所及下水道通暢等。其中電容量應(yīng)達到乙方__________千瓦的要求，以上所產(chǎn)生的一切費用甲方承擔(dān)。
第六條雙方的權(quán)利和義務(wù)
一、甲方權(quán)利義務(wù)
1、保證所出租的房屋及設(shè)施完好并能夠正常使用，并負(fù)責(zé)年檢及日常維護保養(yǎng)、維修;凡遇到政府部門需要對有關(guān)設(shè)施進行改造時，所有費用由甲方負(fù)責(zé)。
2、負(fù)責(zé)協(xié)調(diào)本地區(qū)各有關(guān)部門的關(guān)系，提供有效的房產(chǎn)證明及相關(guān)文件，協(xié)助乙方辦理營業(yè)執(zhí)照、裝修許可證等文件的申領(lǐng)事宜，以及其他與租賃有關(guān)的工商、稅務(wù)、城建等手續(xù)，費用由乙方承擔(dān);
3、同意乙方在其所承租之房產(chǎn)上方設(shè)置招牌，并免收任何費用，同時協(xié)助乙方辦理相關(guān)的審批手續(xù)。
4、保證室內(nèi)原有的電線、電纜、水管滿足乙方正常營業(yè)使用，并經(jīng)常檢查其完好性(乙方自設(shè)除外)，發(fā)現(xiàn)問題應(yīng)及時向乙方通報。由于供電、供水線路問題給乙方造成經(jīng)濟損失，甲方應(yīng)給予乙方全額賠償。
5、在合同期內(nèi)，甲方不得再次引進同類商戶。如違約應(yīng)向乙方支付人民幣元，并解除與該商戶租賃關(guān)系并有效排除妨礙。
6、保證出租房屋的消防設(shè)施符合行業(yè)規(guī)定，并向乙方提供管轄區(qū)防火部門出具的電、火檢驗合格證書復(fù)印件。
7、上述設(shè)備、設(shè)施出現(xiàn)問題甲方應(yīng)及時修復(fù)或更換，如甲方不能及時實施，乙方有權(quán)代為修復(fù)或更換，費用(以發(fā)票為準(zhǔn))由房租扣除。乙方無法自行修復(fù)而甲方未及時修繕而給乙方造成損失的，甲方應(yīng)承擔(dān)賠償責(zé)任。
二、乙方權(quán)利義務(wù)
1、在國家法律、法規(guī)、政策允許的范圍內(nèi)進行經(jīng)營及辦公。
2、合同有效期內(nèi)，對所租賃的房屋及設(shè)施擁有合法使用權(quán)。
3、按合同內(nèi)容交納租金及其它費用。
第七條房屋裝修或改造
一、乙方如需要對所租賃房屋進行裝修或改造時，必須先征得甲方書面同意，改造的費用由乙方自負(fù)，并不得破壞房屋的建筑結(jié)構(gòu)。在合同終止、解除租賃關(guān)系時，除可以移動的裝潢及附屬設(shè)施以外，乙方裝修或改造與房屋有關(guān)的固定設(shè)施全部歸甲方所有。
二、乙方裝修期自______年______月______日至______年______月______日，該期限甲方免收乙方租金。
第八條轉(zhuǎn)租
甲方同意乙方在承租期間可將房產(chǎn)自行轉(zhuǎn)租，但不得損害本合同約定之甲方合法權(quán)利，保證甲方正常獲得本合同應(yīng)得的租金收益。
第九條續(xù)租
一、在本合同期滿后，乙方需要繼續(xù)租賃的，有優(yōu)先租賃權(quán)。
二、乙方如需續(xù)租，應(yīng)在租期屆滿前二個月向甲方提出，并簽訂新租賃合同。
第十條其它約定
一、甲方和乙方中任何一方法定代表人變更、企業(yè)遷址、分立合并，不影響本合同繼續(xù)履行。變更后的一方即成為本合同當(dāng)然執(zhí)行人，分立合并的，由分立合并方自行指定確認(rèn)主體成為本合同執(zhí)行人，并通知本合同相對方，承擔(dān)本合同的內(nèi)容之權(quán)利和義務(wù)。
二、本合同的某項條款需要變更時，必須用書面方式進行確定，雙方訂立補充協(xié)議。
三、乙方在租賃期間獨立經(jīng)營，自負(fù)盈虧。對經(jīng)營期間因乙方發(fā)生的債務(wù)由乙方承擔(dān)，甲方與任何第三者及合作前遺留的任何債權(quán)、債務(wù)與乙方無關(guān)。
四、租賃期間，雙方各自按法律規(guī)定承擔(dān)各自應(yīng)承擔(dān)的稅費。雙方各自辦理財產(chǎn)保險，互不承擔(dān)任何形式之風(fēng)險責(zé)任。
六、租賃期間，該房屋如遇市政拆遷，乙方有權(quán)獲得政府對該場所的商業(yè)賠償，賠償金額按當(dāng)?shù)夭疬w規(guī)定。
第十一條違約責(zé)任
一、本合同生效后甲方未能依約向乙方移交出租房屋及設(shè)備，甲方構(gòu)成違約。違約責(zé)任按照本合同第十一條執(zhí)行。
二、因不可抗拒的因素引起本合同不能正常履行時，不視為違約。甲方應(yīng)將乙方已預(yù)交的租金及押金退還給乙方。協(xié)議終止，與之相關(guān)事宜由雙方協(xié)商解決并妥善處理。
三、甲方單方提前終止合同，或因甲方違約而導(dǎo)致本協(xié)議終止的，或因甲方債務(wù)等其它原因造成乙方無法正常經(jīng)營致使乙方單方終止合同的，甲方應(yīng)退還預(yù)收乙方的租金和押金，賠償乙方未分?jǐn)偼戤叺难b修費用(裝修費用為人民幣元，按___個月分?jǐn)偼戤叄疵吭路謹(jǐn)傃b修費用_______元)。同時還應(yīng)當(dāng)支付違約金人民幣元，若甲方所支付違約金不足以彌補乙方實際損失的(包括但不限于乙方因甲方原因退貨、遣散員工所造成的損失)，甲方應(yīng)據(jù)實賠償。
五、乙方單方提前終止合同，乙方支付違約金人民幣元，經(jīng)乙方同意，乙方預(yù)交的租金和押金可沖抵違約金，多退少補。
第十二章合同的終止
一、合同期屆滿雙方不再續(xù)約的，合同終止。
二、任何一方都有權(quán)終止合同，終止合同應(yīng)提前二個月通知對方，并應(yīng)當(dāng)按照本合同第十一條之規(guī)定承擔(dān)違約責(zé)任。
第十三條合同生效及糾紛解決
一、本合同經(jīng)甲、乙雙方簽字蓋章后生效。
二、在本合同執(zhí)行過程中，若發(fā)生糾紛，由雙方友好協(xié)商，如協(xié)商不成時，由乙方所在地人民法院解決。
三、本合同未盡事宜，由甲、乙雙方協(xié)商解決，并另行簽訂補充協(xié)議，其補充協(xié)議與本合同具有同等法律效力。
四、本合同正本一式三份，甲方執(zhí)一份，乙方執(zhí)兩份。
