13.裝運(yùn)條款：

賣(mài)方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以電報(bào)/電傳/傳真通知買(mǎi)方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買(mǎi)方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣(mài)方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣(mài)方負(fù)擔(dān)。在貨物超過(guò)船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣(mài)方負(fù)擔(dān)。

15.質(zhì)量保證：
quality guarantee :
貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書(shū)之規(guī)定，品質(zhì)保證期為貨到目的港_________個(gè)月內(nèi)，在保證期限內(nèi)，因制造廠(chǎng)商在設(shè)計(jì)制造過(guò)程中的缺陷造成的貨物損害應(yīng)由賣(mài)方負(fù)責(zé)賠償。

17.索賠
claims:
如經(jīng)中國(guó)_________檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書(shū)之規(guī)定不符，買(mǎi)方可于貨到目的港后_________天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書(shū)向賣(mài)方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買(mǎi)方仍可向賣(mài)方就質(zhì)量保證條款之內(nèi)容向賣(mài)方提出索賠。
the buyers shall lodge claims against the sellers based on the inspection certificate issued by china _________ inspection authority _________ days after the arrival of the goods at the destination ， if the goods are found to be damaged ， missing or the specifications ， quantity， and quality not in conformity with those specified in this contract and letter of quality guarantee . in case the claim period above specified is not in conformity with the quality guarantee period， during the quality guarantee period， the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18.延期交貨違約金
late delivery and penalty
除雙方認(rèn)可的不可抗力因素外，賣(mài)方遲于合同規(guī)定的期限交貨，如買(mǎi)方同意遲延交貨，賣(mài)方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過(guò)貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿(mǎn)7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣(mài)方應(yīng)將前述方法計(jì)算的違約金即付買(mǎi)方。
if the sellers fail to make delivery on time as stipulated in the contract ， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty ， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is ged at 0.5%for every seven days ， if less that seven days. in case ， the payment is not made through l/c ， the sellers shall pay the penalty ed as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及時(shí)通知買(mǎi)方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
20.爭(zhēng)議之解決方式：
disputes settlement :
□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。
all disputes arising out of the contract or in connection with the contract ， shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its rules of arbitration in shenzhen china . the arbitral award is final and binding upon both parties.

21.法律適用
law application :

14.裝運(yùn)通知

17.索賠

第三條 本公約對(duì)本物業(yè)管理區(qū)域全體業(yè)主和非業(yè)主使用人均具有約束力。物業(yè)的所有權(quán)人發(fā)生變更時(shí)，公約的效力及于物業(yè)的繼受人。
第四條 全體業(yè)主一致同意在業(yè)主大會(huì)成立前，由建設(shè)單位聘請(qǐng)的物業(yè)管理公司根據(jù)物業(yè)管理服務(wù)合同對(duì)本物業(yè)進(jìn)行物業(yè)管理服務(wù)。
第五條 業(yè)主在物業(yè)管理活動(dòng)中依照有關(guān)法律、法規(guī)的規(guī)定和本公約的約定，享有相應(yīng)的權(quán)利，履行相應(yīng)的義務(wù)。業(yè)主轉(zhuǎn)讓或出租物業(yè)時(shí)，應(yīng)將本公約向受讓人或承租人明示，并應(yīng)將物業(yè)轉(zhuǎn)讓或出租情況書(shū)面告知物業(yè)管理企業(yè)。
第六條 本物業(yè)管理區(qū)域應(yīng)按照有關(guān)法規(guī)的規(guī)定成立業(yè)主大會(huì)，選舉產(chǎn)生業(yè)主委員會(huì)。
第七條 本物業(yè)管理區(qū)域的業(yè)主大會(huì)應(yīng)當(dāng)制定《業(yè)主大會(huì)和業(yè)主委員會(huì)議事規(guī)則》。
第八條 業(yè)主應(yīng)參加業(yè)主大會(huì)會(huì)議，協(xié)助業(yè)主大會(huì)、業(yè)主委員會(huì)、物業(yè)管理企業(yè)以及相關(guān)單位在物業(yè)管理方面的工作。
第九條 業(yè)主同意按照有利于物業(yè)使用、安全以及公平、合理的原則，正確處理供水、排水、通行、通風(fēng)、采光、維修、裝飾裝修、環(huán)境衛(wèi)生、環(huán)境保護(hù)、房屋外觀(guān)等方面的關(guān)系。
第十條 業(yè)主、非業(yè)主使用人應(yīng)當(dāng)按照規(guī)劃部門(mén)批準(zhǔn)的用途使用物業(yè)，不得擅自改變物業(yè)的使用功能。
第十一條 業(yè)主對(duì)物業(yè)專(zhuān)有部分的使用、維修、養(yǎng)護(hù)行為不得妨礙其他業(yè)主的合法權(quán)益和業(yè)主的共同利益。
第十二條 業(yè)主裝飾裝修物業(yè)時(shí)應(yīng)遵守以下約定
（一）應(yīng)當(dāng)事先告知物業(yè)管理企業(yè)，并與物業(yè)管理企業(yè)簽訂裝飾裝修管理協(xié)議。
（二）應(yīng)在指定地點(diǎn)放置裝飾裝修材料及垃圾，不得擅自占用共用部位和公共場(chǎng)所。
（三）業(yè)主裝修時(shí)應(yīng)嚴(yán)格遵守裝修施工時(shí)間（上午_______時(shí)至________時(shí)，下午_______時(shí)至_______時(shí)），已有業(yè)主入住的，晚間_______時(shí)至次日上午_______時(shí)，中午_______時(shí)至_______時(shí)以及節(jié)假日，不得從事敲、鑿、鋸、鉆等產(chǎn)生嚴(yán)重噪聲的施工。
（四）按規(guī)定可以安裝防盜網(wǎng)的，應(yīng)按照統(tǒng)一的標(biāo)準(zhǔn)制作安裝，以保持物業(yè)區(qū)域外觀(guān)統(tǒng)一。
（五）業(yè)主應(yīng)遵守裝修管理協(xié)議，因違反裝飾裝修管理協(xié)議而影響物業(yè)用電、用水、供氣、通訊、有線(xiàn)電視等使用功能的，應(yīng)承擔(dān)相應(yīng)責(zé)任。
（六）因裝飾裝修房屋影響共用部位、共用設(shè)施、設(shè)備的安全使用以及侵害相鄰業(yè)主合法權(quán)益的，業(yè)主應(yīng)及時(shí)恢復(fù)原狀并承擔(dān)相應(yīng)的賠償責(zé)任。
第十三條 物業(yè)在使用中存在安全隱患，已經(jīng)或者即將危及公共利益及他人利益的，責(zé)任人應(yīng)當(dāng)及時(shí)應(yīng)急維修；責(zé)任人不履行或者無(wú)法履行應(yīng)急維修義務(wù)的，物業(yè)管理企業(yè)可在社區(qū)工作站（社區(qū)居民委員會(huì)）、業(yè)主委員會(huì)有關(guān)人員到場(chǎng)見(jiàn)證下進(jìn)入物業(yè)內(nèi)部應(yīng)急維修；維修所需的費(fèi)用由責(zé)任人承擔(dān)。
第十四條 因維修養(yǎng)護(hù)物業(yè)需要進(jìn)入相關(guān)業(yè)主的物業(yè)專(zhuān)用部分時(shí)，業(yè)主或物業(yè)管理企業(yè)應(yīng)事先告知相關(guān)業(yè)主，相關(guān)業(yè)主應(yīng)給予必要的配合。
相關(guān)業(yè)主阻撓維修養(yǎng)護(hù)造成物業(yè)損壞及其他損失的，應(yīng)負(fù)責(zé)修復(fù)并承擔(dān)賠償責(zé)任。
第十五條 業(yè)主應(yīng)當(dāng)按設(shè)計(jì)預(yù)留的位置安裝空調(diào)，未預(yù)留設(shè)計(jì)位置的，應(yīng)按物業(yè)管理企業(yè)指定的位置安裝，并按要求做好噪音及冷凝水的處理。
第十六條 業(yè)主及非業(yè)主使用人使用電梯應(yīng)遵守本物業(yè)區(qū)域的電梯使用的有關(guān)規(guī)定。損壞電梯設(shè)備的，應(yīng)承擔(dān)相應(yīng)的賠償責(zé)任。
第十七條 物業(yè)區(qū)域的車(chē)輛行使、停放應(yīng)遵守本區(qū)域停車(chē)場(chǎng)使用規(guī)定和使用協(xié)議。
第十八條 依照有關(guān)規(guī)定飼養(yǎng)犬只的，在犬只外出時(shí)應(yīng)為犬只戴防護(hù)口罩、佩束犬鏈，并由成年人牽領(lǐng)、看管，即時(shí)清除犬只排出的糞便。
第十九條 本物業(yè)管理區(qū)域禁止下列行為
（一）擅自改變房屋的結(jié)構(gòu)和外貌；
（二）擅自占用或損壞公共樓梯、扶欄、走道、地下室、平臺(tái)、外墻、屋面等共用部位，擅自移動(dòng)或損壞共用設(shè)施、設(shè)備；
（三）擅自在天井、庭院、平臺(tái)、屋頂、綠地、道路等共用部位、共用場(chǎng)地搭建（構(gòu)）筑物；
（四）擅自擺設(shè)攤點(diǎn)；
（五）侵占或損壞道路、綠地、花卉樹(shù)木、藝術(shù)景觀(guān)及文體休閑設(shè)施；
（六）亂拋垃圾雜物和高空拋物；
（七）違反有關(guān)規(guī)定堆放易燃、易爆、劇毒、放射性物品，排放有毒有害物質(zhì)；
（八）室內(nèi)不得制造超標(biāo)準(zhǔn)噪聲，包括大音量播放電視、音響，舉行喧鬧的聚會(huì)、舞會(huì)，機(jī)器設(shè)備噪聲等；
（九）違反規(guī)定在物業(yè)管理共用部位和相關(guān)場(chǎng)所懸掛、張貼和亂涂亂畫(huà)；
（十）違反有關(guān)規(guī)定飼養(yǎng)家禽、家畜及寵物；
（十一）____________________________________________________________；
（十二）法律、法規(guī)禁止的其他行為。
第二十條 業(yè)主應(yīng)按照有關(guān)規(guī)定交納、使用和管理維修基（資）金。
第二十一條 業(yè)主利用物業(yè)共用部位、共用設(shè)施設(shè)備設(shè)置廣告或進(jìn)行其他經(jīng)營(yíng)活動(dòng)的，應(yīng)當(dāng)征得有關(guān)業(yè)主、業(yè)主大會(huì)的同意，并按照規(guī)定向物業(yè)管理企業(yè)辦理有關(guān)手續(xù)。
按照前款規(guī)定獲取的收益，按下列第_________種方式處理：
（一）納入管理費(fèi)；
（二）納入維修基（資）金；
（三）___________________________；
（四）___________________________。
第二十二條 業(yè)主未按規(guī)定交付物業(yè)管理服務(wù)費(fèi)的，物業(yè)管理公司應(yīng)當(dāng)督促其限期交付，業(yè)主逾期仍不交付的，業(yè)主委員會(huì)或其委托的物業(yè)管理企業(yè)可以在物業(yè)管理區(qū)域內(nèi)公布物業(yè)管理服務(wù)費(fèi)收交情況，并注明欠交費(fèi)用的業(yè)主姓名、樓座房號(hào)進(jìn)行催繳；仍不交付的，物業(yè)管理企業(yè)可以依法向人民法院提起訴訟。
業(yè)主與非業(yè)主使用人約定由非業(yè)主使用人交納物業(yè)管理服務(wù)費(fèi)用的，從其約定，業(yè)主負(fù)連帶交納責(zé)任。
