　　第四條　供貨期

　　第五條　標記

　　每個貨箱均應用防水顏料在箱體的三面(上面，前面和左右)用英、俄兩種文字書寫以下標記：合同號，收貨人，箱號，毛重，凈重。

　　第六條　支付

　　本合同所供應的貨物之價款，由購方按照中國銀行和原蘇聯外經銀行關于邊境貿易支付協議書所規定的辦法及1990年3月13日“由中國向蘇聯和由蘇聯向中國交貨的共同條件”以瑞士法郎憑下列單據向售方支付：

　　1.帳單4份;

　　2.蓋有售方國發站印章的鐵路運單副本1份;

　　3.明細單3份;

　　4.品質證明書1份。

　　第七條　保證和索賠

　　賣方在提供的商品投入使用之后12個月內保證商品質量，但不超過供貨之日起18個月。

　　對貨物品質的異議應在發現缺陷后3個月內提出，如在保證期發現缺陷，提賠日期不能遲于保證期結束30天。

　　如商品在保證期內出現缺陷，供貨一方應排除缺陷或更換有缺陷的部分并負擔費用。

　　當事人一方給對方造成人身傷害或因故意或重大過失給對方造成財產損失的，應當進行賠償。

　　第八條　發貨通知

　　售方應在發貨后10天內以電傳向購方通知有關貨物自生產廠發運的情況，并注明發運日期，合同號，發動機號，件數，毛重和鐵路運單號。

　　摘要:近幾年來，在全球范圍內因國際貿易欺作而給有關當事人造成的損失每年達數百億美元，因而研究國際貿易欺作的類型及其防范措施意義重大。作為國際賈易欺作基本類型的合同欺作的形式，主要有合同主體的欺作、利用合同條款欺作、利用合同履行欺作、數量限制或強制性規定欺詐等。為防范國際貿易合同欺作，應根據不同情形采取不同的措施。

　　關鍵詞:國際貿易合同;欺詐;防范

　　在國際經濟交往中，幾乎任何一項國際貿易業務的進行都要運用合同手段。國際貿易合同能夠設立、變更、消滅國際貿易當事人各方的權利義務關系，衡量當事人各方的是非曲直。正因為國際貿易合同應用的廣泛性，所以很多國際貿易欺詐活動都是利用合同手段進行的。我國加人wTO以后，國際貿易活動日益頻繁，國際貿易規模也會越來越大，國際貿易合同所起的.作用更為重要。為了在國際貿易中更好地維護自身的合法權益.了解、掌握國際貿易合同欺詐的類型及其防范措施，防患于未然，很有必要。

　　國際貿易合同欺詐的類型

　　(一)合同主體的欺作國際貿易合同的主體即合同的雙方當事人。在世界經濟一體化日益發展的情形下，國際貿易合同主體是多種多樣的。既有經濟實力雄厚的跨國公司，也有名不見經傳的小商人，甚至有專門的商業騙子。在國際貿易中，合同主體的欺詐形態主要有:

　　1.虛構主體欺詐。這種形式的欺詐主要有合同當事人一方未經注冊、子公司未經母公司同意而打著母公司的旗號簽約、合同當事人純屬商業騙子等情形。

　　2 . 有限責任欺詐。這種欺詐主要是利用股份有限公司、有限責任公司的法律特點進行的。由干這兩種公司的法律特點之一是公司以其全部注冊資本為限對外承擔責任，股東以其出資額為限對公司債務承擔責任，因而給某些心懷惡意的國際貿易欺詐者以可乘之機。特別是象實行資本授權制的英美國家對注冊資本的要求不很嚴格，這更為從事國際貿易的欺詐者提供了法律上的方便。這些人往往以很低的資本注冊一個股份有限公司或有限責任公司，然后在國際貿易中渾水摸魚。

　　3 . 主體變更欺詐。這種欺詐方式是指在國際貿易合同欺詐中，通過主體變動實施欺詐。具體做法是合同當事人一方將自己的合同義務轉讓給第三方，第三方所提履行條件往往比較優越，在合同的原當事人對第三方資信不作深人了解的情況下，易上當受騙。

　　(二)利用合同條款欺作許多合同欺詐的發生，都是由于當初雙方們立合同時對某些條款訂得不完善，給一方借此進行欺詐帶來可乘之機。利用合同條款進行欺詐的情形主要有以下幾種:

　　1 . 品質條款欺詐。這是合同一方當事人產私用合同對商品品質、規格規定的不詳細不具體而對對 方進行欺詐的方式。

　　2.索賠條款欺詐。在國際貿易合同中往往訂有索賠條款，規定如一方不履行或不適當履行合同，則對方有權對其提出索賠要求，以保護守約方的合同利益不受損害。利用索賠條款欺詐，有買方對賣方的欺詐，如買方所提條件雖很優越，但給予賣方的履約時間較短，最終使賣方違約而向賣方提出索賠要求;賣方也可利用索賠條款對買方欺詐，如合同規定賣方的履約時間較長，賣方向買方交付不合格的產品后因超過合同規定的買方向賣方的索賠時間而使買方遭受損失。

　　3.違約金條款欺一詐。國際貿易合同欺詐中利用違約金條款進行欺詐時，欺詐方總是在訂約前充分了解對方的實際履約能力，然后利用對方急于進行出口貿易的心理，與之訂立超出對方實際履約能力的大宗貿易合同，但履行期限又短得讓對方無法履行，欺詐方即可得到大筆的違約金。

　　4.擔保條款欺詐。國際貿易合同欺詐方利用擔保條款欺詐的做法是欺詐方提供擔保以增強合同對方當事人的信任，但這種擔保是無效擔保或擔保物易滅失或轉移的擔保。即使欺詐方不履行合同時，受害方終因不能行使擔保權而受損失。

　　第一條　貿易內容

　　(一)乙方向甲方提供用于生產的_________型機械_________臺，以及各種其他輔助機械設備，并同時提供各類機械設備所必需的附配件及備用件，以及在生產過程中各種必需的測試儀器。具體的各類機械設備、測試儀器、附、配件、備用件之型號、名稱、規格、數量、價格、包裝要求、交貨期限等，由雙方另行簽訂設備進口合同，作為本合同不可分割的一部分。

　　(二)甲方用乙方提供的機械設備所生產的部分產品以及其他商品，或經雙方協商，用_________工廠生產的_________商品來償付全部機械設備的價款。具體的償付商品的名稱、數量、價格、交貨期限等，由雙方另行簽訂補償商品供貨合同，作為本合同不可分割的一部分。設備進口合同與補償商品供貨合同可合并為補償貿易購銷合同(見附件)。

　　第二條　支付條件與方式

　　由甲乙雙方對開信用證，即由甲方分期開出以乙方為受益人的遠期信用證，分期、分批支付全部機械設備的價款;乙方開出以甲方為受益人的即期信用證，支付補償商品的貨款。甲方用乙方支付補償商品的貨款，來支付全部機械設備的價款。當乙方支付的貨款不能相抵甲方所開的遠期信用證之金額時，其差額部分由乙方用預付貨款方式，在甲方所開的遠期信用證到期前匯付甲方，以使甲方能按時議付所開的遠期信用證。甲方所開的遠期信用證的按期付款，是基于乙方按規定開出限期信用證及按規定預付貨款。乙方保證按規定開出信用證及預付貨款。

　　第三條　償付期限

　　甲方用_________年零_________個月，分月和商品償付全部機械設備的價款。償還日期自第一批機械設備到貨后約_________個月后開始，原則上每月償還的金額是全部機械設備價款的_________分之_________。甲方可以提前償還，但需在_________個月前通知乙方。

　　第八條　保險

　　設備進口以后由乙方投保。設備所有權在付清貨款后發生轉移，之后，如發生意外，損失先由保險公司向投保人賠付，再按比例退回甲方已支付的設備貨款。

　　第九條　違約責任

　　乙方不按合同規定購買補償商品或甲方不按合同規定提供商品時，均應按合同條款承擔違約責任，賠償由此造成的經濟損失，并向對方支付該項貨款總值的_________%的罰款。

　　第十條　履約保證

　　article 1　introduction

　　(1)party b shall provide party a with _________machines of model _________to be used in production.along with them shall also be provided various kinds of supporting machinery，accessories and spare parts it needs，and the various kinds of measuring and testing instruments required in the course of production，the specific models， names，specifications， quantity，unit prices，packing requirements and the deadline for delivery shall be specified in an additional contract to be made between the both parties，which will serve as a integral part of the contract.

　　after approval by both parties， party b shall send a group of technicians to china to faciliate the completion of the project. the cost incurred in china shall be borne by party b.

　　article 7　additional equipment

　　in the course of implementing the contract if it is foun necessary that ，in addition to the machinery and accessories already listed in the provisions， some additional items of the equipment and measuring and testing apparatus are needed， an additional order shall be agreed upon through negotiation .the items thus added shall be incorporated in the contract.

　　article 8　insurance

　　after being delivered in china， the machinery and its supporting equipment shall be insured by party b. the unforeseen losses in connection with the equipment shall be indemnified for by the insurance company first to the insurer (party b) in case the equepment has already been paid off for and thus transferred into party a's possession.then a proportional part of the sum paid by the insurance company shall be allotted to party a to cover the payment party a has already made for the items of equipment involved the losses.

　　article 9　liability for breach

　　either party shall be liable for a breach of contract in accordance with the provisions in the contract and shall indemnify for all the losses thus if party b should fail to make purchase of the products to be delivered by party a as make - up payment ， or party a should fail to deliver the products for compensation . in such case， the breaching party shall pay to the other a sum as a fine ， which shall account for _________ % of the total cost the products in question.

　　article 10　performance guarantee

　　article 14　language and effective date
