甲方________（供方）與乙方________（購方）達成如下協議：
第一條 合同標的供方同意出售，購方同意購買________。（詳見本合同附件1，該附件為本合同不可分割的一部分）。
第二條 技術資料供方應向購方提供設備使用及維修技術資料一份。
第三條 供貨條件-包裝和標記供方應在設備全額信用證開立之后的________________個月內用密封集裝箱或其它包皮包裝從________________發運設備。
供方有權從任何對其方便的港口發運設備。
供方應把設備運至商定的________________港。
自設備從船航運抵__________港口時起滅失和（或）損壞的風險由供方轉移到購方。
供方承擔設備運輸的一切費用及運抵港口前的保險費。
設備從__________港口繼續運到安裝地的一切費用由購方承擔。
發貨前________________天內供方應向購方通知發運情況，明確交通工具的種類和名稱、計劃發運日期及其它有關信息。
購方應支付履行海關手續的所有費用和一切與設備運入__________境內有關的開支。
設備和技術資料用密封集裝箱或其它包皮裝運并附具包裝清單，標記使用英語刷寫。
發貨單證包：
1）發貨帳單（三份）
2）海運提單
3）裝箱單
4）保險單
第四條 設備質量按本合同所供設備的質量應符合生產廠家的技術條件。如生產廠家有保證書，應用保證書加以確認。
第五條 合同價格和支付條件所供設備的總額為________________美元（cif價）。購方應在合同簽定后的________天內開立以供方為受益人的不可撤銷的保兌信用證。該信用證在開立時起的________天內有效。
開證行應為______________銀行或_______________的某家銀行。
一切與在開證行開立信用證有關的費用由購方承擔，而一切與議付行收取信用證有關的費用由供方承擔。
支付在向議付行提交下列單據后進行：
1）發貨帳單（3份）
2）海運提單
3）裝箱單
4）保險單
第六條 保證供方保證所供設備在投入使用日起的__________個月內，但不超過發貨日起的___________月內正常工作。
第七條 不可抗力在發生不可抗力情況致使合同一方不能全部或部分履行本合同的義務時，按此種不可抗力情況存在的時間推遲履行合同義務。
不可抗力情況是指雙方不能預見或預測的由于非常事件而出現的情況，即：影響履行所承擔義務的火災、風暴、地震和其它自然現象，以及戰爭、任何性質的軍事行動，各國政府的封鎖與制裁等。
因不可抗力情況而不能履行義務的一方，應在不可抗力情況發生和停止的20天內書面通知另一方關于其發生和停止的情況。收信人所在國郵局在收到通知函日加蓋的日期作為得悉該信息的日期。
協約雙方國商會出具的證明書將成為證明上述情況發生及延續時間的必要證據。
如有些情況延續3個多月，每一方都有權拒絕繼續履行本合同義務，同時任何一方都無權要求對方賠償可能發生的損失。
第八條 仲裁所有可能由本合同而產生的糾紛或分歧均應由合同雙方友好解決。
如果無法解決糾紛，則該糾紛應提交_______________下設外貿仲裁委員會按其業務規章審理（提交一般法院審理者除外），該委員會的決定對于雙方為終審，必須執行。
第九條 通知一切通知等雙方均應按本合同條件以書面形式進行。
第十條 語言本合同用__________語書就。供方提供英文的全部技術資料和供貨單證。
第十一條 其它條件自本合同簽署之日起，所有在此以前的有關談判和往來信函均告失效。
對本合同的任何修改和補充只有在以書面形式形成并經雙方有關全權代表簽后方能生效。
任何一方都無權在未征得對方書面同意之前將自己對合同的權利和義務轉讓給第三者。

17人力不可抗拒因素：
由于水災、火災、地震、干旱、戰爭或協議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發生的事件通知另一方，并在不可抗力事件發生15天內將有關機構出具的不可抗力事件的證明寄交對方。
force majeure：
either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. however, the party affected by the event of force majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.
18仲裁：
在履行協議過程中，如產生爭議，雙方應友好協商解決。若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。
arbitration
all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded.

17 人力不可抗拒因素：

arbitration

由乙方負責搬走。由乙方增加的裝修(包括新增固定的隔墻、窗、燈具、門及其他拆卸后會損壞室內狀況的情況等)乙方不得拆除，以免破壞室內的裝修狀況。(或由雙方根據當時的實際情況協商處理)
八、轉租、轉讓和交換 8-1乙方在租賃期內，需事先征得甲方的書面同意，方可將該房屋部分或全部轉租給他人。 8-2 乙方轉租該房屋，應按規定與受租方訂立書面的轉租合同。并按規定由甲方(或甲方委托乙方)向上海_______區房地產交易中心辦理登記備案。 8-3 在租賃期內，乙方將該房屋轉讓給他人承租或與他人承租的房屋進行交換，必須事先征得甲方書面同意。轉讓或交換后，該房屋承租權的受讓人或交換人應與甲方簽訂租賃主體變更合同并繼續履行本合同。 8-4 在租賃期內，甲方如需出售該房屋，應提前____個月通知乙方。乙方在同等條件下有優先購買權。根據國家法律，甲方出售本房屋給第三人后，本合同繼續有效。

（12）付款條件：買方應通過買賣雙方同意的銀行，開立以賣方為受益人的、不可撤銷的、不可轉讓和不可分割的、允許分批裝運和轉船的即期信用證。該信用證憑裝運單據在中國的中國銀行見單議付。該信用證必須在______年___月___日前開到賣方。信用證有效期為裝船后_____天在中國到期。
terms of payment :
the buyer shall open， with a bank to be accepted by both the buyer and the seller， an irrevocable，intransferable and indivisible letter of credit at sight， allowing partial shipments and transshipment， in favor of the seller and negotiable against first presentation of the shipping documents to the bank of china in china. the covering letter of credit must be opened and reached to the seller before and to remain valid in china until the _____day（inclusive） from the date of shipment。
（13）單據：賣方應向議付銀行提供已裝船清潔提單（或集裝箱運輸的己裝船提單）、發票、品質證明、數量/重量鑒定書；如果本合同按cif條件，應再提供可轉讓的保險單或保險憑證。
documents： the seller shall present to the negotiating bank， clean on board bill of lading （or clean on board bill of lading for container transportation）， invoice， quality certificate， survey report on quantity/weight， and transferable insurance policy or insurance certificate when this contract is made on cif basis。
（14）裝運條件： （cif/cfr）
1.載運船只由賣方安排，允許分批裝運，允許轉船、允許集裝箱運輸。
2.賣方于貨物裝船后，應將合同號碼、品名、數量、船名、裝船日期以電報通知買方。
terms of shipment ： （cif/cfr）
1. the carrying vessel shall be provided by the seller. partial shipments' transshipment and containers transportation are allowed。
2. after loading is completed the seller shall notify the buyer by cable of the contract number . description of commodity ， quantity， name of the carrying vessel and date of shipment。
（15）品質與數量、重量的異議與索賠：貨到目的口岸后，買方如發現貨物品質及/或數量/重量與合同規定不符，除屬于保險公司及/或船公司的責任外，買方可以憑雙方同意的檢驗機構出具的檢驗證明向賣方提出異議，品質異議須于貨到目的口岸之日起30天內提出，數量/重量異議須于貨到目的口岸之日15天內提出。賣方應于收到異議后30天內答復買方。
quality/quantity/weight discrepancy and claim ：
in case the quality and/or quantity/weight are found by the buyer to be not in conformity with the contract after arrival of the goods at the port of destination， the buyer may lodge claim with the seller supported by survey report issued by an inspection organization agreed upon by both parties，with the exception ，however of those claims for which the insurance company and/or the shipping company are to be held responsible claim for quality discrepancy should be filed by the buyer within 30 days after arrival of the goods at the port of destination？while for quantity/weight discrepancy claim should be filed by the buyer within l5 days after arrival of the port of destination . the seller shall within 30 days after receipt of the claim， send reply to the buyer.
（16）不可抗力：由于人力不可抗拒的事故，使賣方不能在本合同規定期限內交貨或者不能交貸，賣方不負責任。但賣方必須立即以電報通知買方，如買方提出要求，賣方應以掛號函向買方提供由中國國際貿易促進委員會或有關機構出具的發生事故的證明文件。
force majeure ： in case of force majelure， the seller shall not be held responsible for late delivery or non-delivery of the goods but shall notify the buyer by cable，the seller shall deliver to the buyer by registered mail ， if so requested by the buyer， a certificate issued by the china council for the promotion of international trade or any competent authorities。
（17）仲裁: 凡因執行本合同或與本合同有關事項發生的一切爭執，應由雙方以友好方式協商解決，如果不能取得協議時，則在被告國家根據被告國仲裁機構的仲裁程序規則進行仲裁，仲裁決定是終局的，對雙方具有同等約束力。仲裁費用除非仲裁機構另有決定外，均由敗訴一方負擔。
arbitration ： all disputes in connection with this contract or the execution thereof shall be settled through friendly negotiations between two parties if no settlement can be reached . the case in dispute shall then be submitted for arbitration in the country of defendant in accordance with the arbitration regulations of the arbitration organization of the defendant country， the decision made by the arbitration organization shall be taken as final and binding upon both parties. the arbitration expresses shall be borne by the losing party unless otherwise awarded by the arbitration organization。
