  this agreement of lease is made on this 16th day of december by and between:-

  mrs. ghazala waheed w/o abdul waheed, adult, r/o house no.-*, dha, lahore cantt, (hereinafter to as the lessor of the one part).

  and

  mr.* ,r/o china, refereed to as the lessee of the other part.(expression “lessor”

  and “lessee” wherever the context so permit shall always mean and include their respective heirs, successors legal representative and assignees).

  whereas the lessor is the lawful owner and in lawful possession of house no,-*,dha,

  lahore cantt, consisting of 4 bedrooms with bath, d/d,tv; lounge, kitchen, store, servant, quarter together with fixtures and fitting (hereinafter collectively called the demised premises).

  and whereas the lessor has agreed the lease and the lessee has agreed to take on lease the demised premises on the terms and condition as given below:-

  1. this agreement in only valid if lessee is renewed and extended for the lease period.

  2. the lessor lets lessee takes the demissed premises for a period of 12 months

  commencing from 15th january . the lease is renewable for a further period as may be mutually agreed in writing on expiry of the lease period

  3. the rent of the demised premises shall be usd3,300/-(us dollars three thousand and three hundred only) per month

  4. the lessor hereby acknowledges receipt of the sum of usd.19,800/-(us dollars nineteen thousand and eight hundred only) per month.

  5. it is hereby agreed between the parties that the lessee shall pay the aforesaid monthly rent

  usd. 3,300/-(us dollars three thousand and three hundred only) as the monthly rental advance by 20th of each calendar month for which if is due after completion of advance rent period ending on 15th july .

  6. that the lessor hereby acknowledges receipt of the sum of rs.60,000/-(rupees sixty thousand only) from the lessee as fixed edposit security which shall be refunded to the lessee on giving back the vacant possession of the demised premises after deduction of damages/shortages outstanding bills for electricity, water, gas and telephone charges etc, against the demised premises.

  the lessee herby convenants with lessor as following:

  1. to pay to the lessor the rent hereby reserved in the manner before mentioned.

  2. that the lessee shall not at any time during the terms, without the consent in writing of the lessor, pull down, damages or make any structure alterations to the demised premeses provided always, the lessee shall have go write install any fixtures and fittings excluding air-conditioners in the demised premeses, to detach and repossess the same subject to the restoration of the demised premeses to their original state at his cost (reasonable wear and tear excepted) on the expiry of this lease or any renewal hereof.

  3. to use the demises premises for residen

  tial purpose and would not be used for a commercial purpose the demises premise would not be used occupied by mr.

  4. not to sublet the whole or any part of the premises.

  5. to pay regularly the bills for electricity, gas, water and telephone charges in respect of the demised premises. a copy of all the paid utility bill be forwarded to the lessor every three month regularly. in case of disconnection of any facility due to non-payment, lessee will be responsible to get them restored and pay the same. all dues must be cleared before the expiry of the lease.

  6. the lessee shall keep and maintain the said premises in good and tenantable conditions during the tenure of the lease.

  the lessor hereby convenants with the lessee as following:-

  1. to pay all existing and future rate, taxes assessments and other charges of a public nature whether impose by the municipality, government or any other authority in respect of demised premises.

  2. not to erect or set up a building or structure on the demises premises nor to add to any existing building or structure during the period of lease or any renewal without the written consent of the lessee.

  it is hereby declear and muturally agreed between the lessor and lessee ans follwing:=

  1. the lessee and the lessor shall have the right and option to terminate this lease at any time only after the expiry of the lease period i.e., 24 months, provided they give one (1) month notice in advance to either of the parties.

  八、甲方的責任: party a’s obligations:

  and performs and observes party b’s terms and conditions in accordavce with this agreement, party b shall be entitled to hold and enjoy the leased property throughout the term of this tenancy without any interruption by party a or any other person.

  8.4 租賃期內(nèi)出租房屋的結(jié)構(gòu),進出物業(yè)的排水、上下管道、電路等處于良好使用狀態(tài)。 party a agrees to repair and maintain the structure,drains, pipes and cables, etc.leading in to or from the leased property at all times in good and tenable repair during the term of this tenancy.

  8.1 甲方須按時將出租房屋及其家私家具用品與其設(shè)施以良好狀態(tài)交付乙方使用。 party a shall deliver on schedule to party bvacant possession of the leased property including the furniture,furnishing and appliances and the related facilities for party b’s use(furniture,furnishing and appliances to be detailed in appendisl.)

  8.2 租賃期內(nèi)甲方不得收回出租房屋(除非本合同另有規(guī)定),甲方保證乙方可不受干擾的享用該物業(yè)。 party a shall not repossess the leased property during the term of party a disturb of interfere with party b’s quiet enjoyment of the leased property.

  8.3 在乙方遵守本合同的條款及支付租金的前提下,乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。 proviede that party b pays the rent

  九、乙方的責任: party b’s obligations:

  9.1 乙方應按合同的規(guī)定,按時支付租金,保證金及其他各項應付費用。 party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement. 9.2 乙方應愛護使用出租房屋,如因乙方的過失或過錯致使房屋設(shè)施及屋內(nèi)用具和飾品受到損壞(正常損耗除外),乙方應負賠償責任。 paryt b shall treat the leased property with care. if as a result of party b’s negligence or misconduct, the leased property and the related facilities and accessorties suffer any damage(fair wear and tear excepted ),party b shall be responsible for compensating party a for such damages.

  9.3 乙方應按本合同的約定合法使用出租房屋,不得擅自改變使用性質(zhì),不應存放中華人民共和國法律下所禁止的危險物品,如因此發(fā)生損害,乙方應承擔全部責任。 party b shall use the leased property legally as agreed in this agreement and may not change such use on its own…party b shall not store any dangerous items which are prohibited by the laws in the people’s republic of china in the leased property and shall be fully responsible for any admages of losses as result thereof.

  9.4 未經(jīng)甲方事先書面同意,乙方不得將出租房屋轉(zhuǎn)租或租給其他的第三者。 without party a’s prior written consent ,party b may not assign the tenancy or sublet the leased property to a third party.

  十、違約處理: breach of agreement :

  3.2 a certificate of indebtedness or a loan voucher is an integral part of this contract. the date of advance and payment due date shall follow the date specified on the certificate of indebtedness or loan voucher . where there is any inconsistency between the stipulations on the certificate of indebtedness or loan voucher and the terms and conditions on this contract except date, the latter shall prevail.

  第四條 借款劃付。在借款人辦妥借款手續(xù)后5個營業(yè)日內(nèi)將全部款項劃至借款人指定的賬戶,劃付次數(shù)、時間、金額見 36.4 。

  第五條 借款利率和計息。

  article 5. interest rate of loan and calculation

  5.1借款利率。本合同項下借款利率根據(jù)國家有關(guān)規(guī)定,確定利率見—36—.5 。遇利率調(diào)整時,借款期限在1年(含)以下的,執(zhí)行合同利率,不分段計息;借款期限在1年以上的,實行分段計息,從利率調(diào)整的次年1月1日開始,按相應利率的檔次執(zhí)行新的利率;如借款人未按約定時間歸還借款本息或未按合同約定用途使用借款,貸款人將按國家規(guī)定對借款人計收罰息,罰息率見36.6。

  5.1 interest rate of loan: the interest rate under this contract is specified in 36.5 in line with relevant rules. in case of change of interest rate, the interest rate stipulated in the contract shall prevail for loans with a life of less than or equal to one year; for loans with a life exceeding one year, the interest shall be calculated on a multi-stage basis, i.e. from next jan. 1st following the adjustment of interest rate, the new rate shall prevail. in case the borrower fails to repay the principal and interest before the due date, or fails to use the loan for purposes as agreed in this contract, the lender shall be entitled to collect default interest in line with relevant rules. the default interest rate is specified in 36.6.

  5.2遇利率調(diào)整時,實行分段計息的,貸款人有權(quán)根據(jù)國家有關(guān)規(guī)定自行調(diào)整,不另行通知借款人。

  5.2 in case of calculating interest on multi-stage basis due to adjustment of interest rate, the lender shall be entitled to adjust the interest rate on his own without further notice to the borrower.

  第六條 還款方式。

  article 6 type of repayment of loan

  6.1借款人應在貸款人開設(shè)帳戶,戶名和帳號見 36.7 ,并保證在每次還款日前足額存入當期應還款項的存款。借款人在此授權(quán)貸款人從借款人該帳戶中扣收借款本金、利息和可能發(fā)生的復利、罰息、違約金、保費、損害賠償金及實現(xiàn)債權(quán)的費用(含律師費和訴訟費)。如該帳戶資產(chǎn)不足以歸還到期的貸款本息,貸款人有權(quán)從借款人在中國工商銀行任何分支機構(gòu)開立的任何帳戶劃收。

  6.1 the borrower should open an account with the lender( the account name and account number are specified in 36.7.) and promise to deposit sufficient money for repayment before each due date. the borrower hereby authorizes the lender to collect , if any, compound interest, default interest, liquidated damage, premium, compensation and expenses arising from the realization of creditor’s right (including lawyer’s fee and court expense)in addition to due principal and interest of loan. in case the asset in this account is not enough for repayment of due principal and interest, the lender shall be entitled to collect from any account opened by the borrower with any branch of icbc.

  6.2貸款人與借款人雙方商定,自貸款發(fā)放次月起,借款人按月歸還貸款本息(一次性還本付息除外),還款期數(shù)及還款方式見 36.8 。

  6.2 the borrower shall repay the principal and interest on a monthly basis (except repaying principal and interest in a lump sum) from the second month following the issuing of loan , as agreed between the borrower and lender. the repayment tenors and type are specified in 36.8.

  6.3借款期間遇利率調(diào)整,如執(zhí)行本合同5.1條實行分段計息的,對借款期限在1年以上的,應從利率調(diào)整的次年1月1日開始根據(jù)未償還借款余額和剩余還款期數(shù)進行調(diào)整,重新計算還款金額。

  6.3 in case of multi-stage calculation of interest as specified in 5.1 due to adjustment of interest rate during the life of loan, the repayment amount for loans with a life exceeding one year shall be recalculated on the basis of balance of unpaid loan and the rest of repayment tenor from next jan. 1st following the adjustment of interest rate.

  6.4借款人提前歸還貸款須經(jīng)貸款人書面同意,,提前歸還部分的利息仍按本合同約定的利率和該部分實際使用天數(shù)計算。

  6.4 repayment of the loan ahead of schedule by the borrower shall be subject to written consent from the lender. the interest of prepaid amount should be calculated on the basis of rate specified in this contract and actual days.

  第七條 擔保方式。本合同的擔保人及擔保方式見 36.9。具體約定由本合同中相應的擔保條款確足。

  九、保證金:

  upon expiration of the lease agreement, if the lease agreement is not to be renewed, party a shall refund the deposit without interest to party b within thirty (30) days after the expiration of this lease agreement. if there is any default penalty or compensation or expenses incurred due to the breach of party b and/or any due amount that party b fails to pay, party a may deduct such default penalty or compensation or expenses or due amount from the deposit.

  9.3在本合同期限內(nèi),如有任何應由乙方支付的違約金、賠償金、費用和/或其他應付款項,甲方可直接從保證金中予以扣除,乙方應在接到甲方書面通知后五(5)天內(nèi)補足該部分保證金。

  during the lease term, if there is any default penalty, compensation or expense and/or any other due amount that shall be paid by party b, party a may deduct such amount from the deposit and party b shall, within five (5) days after party a so notifies.

  十、大廈及承租區(qū)域的交付狀態(tài):

  甲方按現(xiàn)狀交樓,具備辦公條件。

  party a will deliver the premises at as-it-is basis, which satisfies the conditions as office.

  十一、甲方的權(quán)利義務(wù):

  11.3甲方的權(quán)利保留party a may reserve the following rights.

  11.3.1 使用公共設(shè)施;to use the public facilities;

  11.3.2 進入房屋內(nèi)對公共設(shè)施進行檢查和維修。甲方行使該項權(quán)利時,應提前通知乙方,緊急情況除外。

  to enter into the premises for check and maintenance provided that party a shall inform party b in advance except under emergency.

  11.3.3 在發(fā)出通知后(緊急情況除外),有權(quán)暫停大廈設(shè)施進行維修和維護,可能導致水電的中斷。甲方無需為此承擔責任。

  to repair and maintain the facilities of the building which may result in the suspension of water and electricity, upon a notice (except under emergency) without any liability thereof.

  11.4 甲方應協(xié)助提供乙方提供辦理工商營業(yè)執(zhí)照所需相關(guān)證明文件。

  party a shall assist party b in registering with industrial and commercial administration by provide necessary documents.

  11.5甲方在承租期內(nèi)促使物業(yè)管理機構(gòu)提供水、電、空調(diào)、供暖及日常房屋維修。

  party a shall procure the management department to provide water, electricity, air conditioning, heating and daily maintenance during the lease period.

  11.6 如在租賃期屆滿前兩個月,乙方未提出續(xù)租請求,或者雖然提出續(xù)租請求,但雙方在三十天內(nèi)未就續(xù)租合同條款達成一致,甲方有權(quán)在工作時間帶領(lǐng)其他租戶進入房屋查看。

  if party b does not submit an application for renewal two months prior to the expiration of this lease agreement, or if party b submits such application but the parties fail to reach agreement on the renewal, party a shall have the right to enter the premises with other tenant at work hours to review.

  十二、乙方的權(quán)利和義務(wù)

  party b‘s rights and responsibilites:

  12.1 自行負責房屋的裝修和設(shè)施。

  party b shall be responsible for the decoration and facilities of the premises.

  除非經(jīng)消防局及甲方同意,乙方不得對房屋的主要結(jié)構(gòu)及裝置(包括煙感器及噴淋頭)作任何變動、拆除或調(diào)整。如乙方擅自做任何變動,應負責將其恢復原狀并承擔一切費用和相關(guān)責任。

  party b shall not alter, change, dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of party a and fire control authority. if party b makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all expenses and related liabilities.

  12.2乙方應根據(jù)本合同第六、七、八條的規(guī)定按時繳納租金及各項相關(guān)費用。

  party b shall pay the rent and other fees pursuant to clauses 6, 7, and 8 on time.

  12.3乙方應按本合同的規(guī)定合理使用房屋,并保持房屋的清潔。

  party b shall reasonably use the premises as provided hereunder and keep it clean.

  12.4未得到甲方及大廈管理機構(gòu)的事先同意,乙方不得在窗外、外墻、

  公共走廊墻面、電梯間及其它共用區(qū)域懸掛、張貼、附置或以其它方式放置任何廣告、標識、招貼或其它資料。

  party b shall not hang, affix, or display any advertisement, signboard, poster or any other materials on outside window, outside wall, public aisle wall, elevator or other public area without the prior consents of party a and management department.

  12.5 乙方在承租期內(nèi)不得將全部或部分房屋轉(zhuǎn)租、分租或借予第三方。

  during the lease term , party b shall not sub-let or assign the lease to any third party.

  12.6 乙方在其經(jīng)營活動中,不得宣稱或令顧客誤認為其與甲方關(guān)系屬合作、合營、合伙、聯(lián)營或關(guān)聯(lián)企業(yè)關(guān)系。

  party b shall not represent or otherwise mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with party a during its operation.

  12.7乙方應自行獲取依據(jù)法律法規(guī)和政府有關(guān)部門規(guī)定應具備的所有許可、批準和證照,保證其營業(yè)活動的合法性。

  party b shall be responsible for obtaining all approvals, consents and licenses required by laws to ensure that its operation is legal.

  12.8乙方應自行承擔由于乙方工商注冊、稅務(wù)登記、遷址等行為所產(chǎn)生的稅、費。

  party b shall be responsible for any and all taxes, fees and expenses incurred for its industrial and taxation registrations and moving into the premises.

  12.9對于第三方因乙方對其造成或在房屋內(nèi)發(fā)生的人身傷害或經(jīng)濟損失而提出的索賠,乙方應自行負責并保證甲方免于此類索賠。如甲方因此類索賠而遭受損失,乙方保證進行賠償。

  party b shall be responsible for and hold party a harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by party b or caused in the premises. party b hereby warranties that it shall indemnity party a for any losses caused to party a by such claims.

  12.10乙方不得在房屋內(nèi)放置易燃、易爆的物品其他危險物品。

  party b shall not keep or store in the premises any flammable or explosive substances or other dangerous substances.

  12.11乙方應嚴格遵守甲方和/或大廈物業(yè)管理機構(gòu)制定并不時修改的大廈所有管理規(guī)定。

  party b shall strictly comply with all rules made and amended from time to time by party and/or the management department.

  12.12 乙方不得在房屋內(nèi)從事任何違法活動。

  party b shall not carry out any illegal activity in the premises.

  12.13乙方不得將房屋用于除辦公以外的用途。

  party b shall not use the premises for any purpose other than as office.

  12.14若乙方以租賃房屋作為其公司注冊地址時,乙方應在租賃合同終止后15日內(nèi)辦理地址注銷登記手續(xù),乙方逾期辦理的,應每日按月租金千分之三的標準向甲方支付滯納金,造成甲方損失的,應予以賠償。

  if the premises is used as company‘s registered address of party b, party b shall complete the procedures of writing off the registered address within 15 days after termination of the contract. if party b is not able to complete the procedures on time , it shall pay party a a penalty equal to 3‰ of the monthly rent per day of delay. party b shall compensate for such loss.

  十三、違約責任與合同終止

  breach and termination

  13.1違約

  任何一方違反合同給另一方造成損失的,應當進行賠償。

  if a party is in breach of this lease agreement, it shall compensate the other party for any losses cause by its breach.

  13.2在下列任何情況下,本合同終止

  this lease agreement will be terminated under any of the following conditions:

  13.2.1租賃期限屆滿:

  the expiration of this lease agreement

  13.2.2 當一方違反本合同中任何規(guī)定,并且另一方書面通知要求其予以糾正的三十(30)日內(nèi)未能糾正違約行為或者如果該違約是無法糾正的,守約方有權(quán)立即終止本合同。

  by one of the parties, with immediate effect, when the other party is in breach of this lease agreement and such breach is not curable or is not remedied within thirty (30) days after the party not in breach sends a written notice requesting the cure of such breach;

  13.2.3甲方可以提前六十(60)天的書面通知提前終止本合同,但應雙倍返還乙方保證金。

  party a may terminate this lease agreement with a sixty (60) day prior written notice provided that it shall refund the deposit in double amount.

  13.2.4如乙方延期支付租金和/或其他各項款項超過十(10)日,甲方有權(quán)解除合同,保證金不予退還。乙方除應支付延期款項外,還應支付逾期付款違約金,數(shù)額延期支付金額的0.5%/日,直至乙方全額付清為止。

  if party b delays the payment of rent and/or other amounts for ten (10) days, party a shall have the right to terminate this lease agreement and the deposit shall not be refunded. party b shall pay a default penalty for the overdue amount at the rate of 0.5% of the overdue amount per day until it pays in full amount, in addition to pay all the overdue amounts.

  13.2.5 如乙方不遵守大廈管理規(guī)定并嚴重影響其他租戶正常經(jīng)營,甲方可以書面通知乙方提前終止本合同,并且保證金不予返還。

  if party b does not comply with the management rules of the building and therefore seriously affects the normal operation of other tenants, party a may terminate this lease agreement in advance with a written notice and the deposit shall not be refunded.

  13.2.6 如乙方在房屋內(nèi)從事任何違法活動或未按照辦公用途使用房屋,甲方有權(quán)立即書面通知乙方提前終止本合同,保證金不予返還。

  if party b carries out any illegal activity in the premises or use the premises for other purpose than office, party a shall have the right to immediately terminate this lease agreement with a written notice and the deposit shall not be refunded.

  13.2.7 如乙方將房屋分租或轉(zhuǎn)租第三方,甲方有權(quán)以書面通知立即終止合同,并且保證金不返還。

  if party b sublets or assigns the lease to a third party, party a shall have the right to immediately terminate this lease agreement with a written notice and the deposit shall not be refunded.

  13.2.8 不可抗力force majeure

  一方因不可抗力事件連續(xù)六十天(60)不能履行義務(wù),任何一方可以書面通知終止本合同,在不可抗力的影響范圍內(nèi)受影響的一方不承擔違約責任。“不可抗力”包括自然災害、爆炸、飛行物體墜落、政府行為(但專門針對受影響一方的行政行為除外)等受影響的一方不能預見、不能控制并且不可避免的事件。雙方在此明確但商業(yè)性風險不應作為不可抗力。受影響的一方應在不可抗力事件發(fā)生后的五(5)日內(nèi)書面通知對方,并且應附有有權(quán)機構(gòu)出具的不可抗力發(fā)生的證明。

  either party may terminate this lease agreement with a written notice if one party is not able to perform its obligations hereunder for consecutive sixty (60) days due to force majeure. the affected party shall not bear the liability of breach of contract to the extent of the effect of the force majeure. force majeure shall include such events that the affected party is not able to foresee, control and avoid as natural disaster, explosive, falling of flying objects, government action (except those specially against the affected party) the parties hereby confirm that commercial risk shall not be deemed force majeure. the affected party shall notify the other party in writing of such force majeure event accompanying with the certification of the occurrence of the force majeure event issued by competent authority.

  13.2.9一方進入破產(chǎn)、清算、解散或任何類似程序,另一方可以終止本合同,但以善意管理費用或合并為目的的除外。

  one party may terminate this lease agreement if the other party launches the bankruptcy, liquidation, winding up or any similar procedure other than for the purpose of a bona fide reconstruction or amalgamation.

  13. 3 合同終止的后果 the result of the termination

  13.3.1 如本合同屆滿并且未由乙方續(xù)租,乙方須于屆滿之日的17點之前騰空房屋;如本合同因任何原因提前終止,乙方應于終止日后的三日內(nèi)騰空房屋。如乙方未能在此期間騰空房屋,由乙方應按日支付房租,逾期十日以上(包括十日),乙方應按雙倍房租支付。如因此給甲方造成經(jīng)濟損失(包括因未能向下一租戶及時交付房屋而導致的違約金和租金收入),還應賠償損失。

  if this lease agreement is expired without the renewal of party b, party b shall vacant the premises by 5pm on the date of expiration; if this lease agreement is terminated in advance for whatever reason, party b shall vacant the premises within three (3) days after the termination date. if party b fails to vacant the premises within the aforesaid period, it shall pay rent for each day of delay. if the delay is over ten (10) day (inclusive), party b shall pay the rent in double amount. if there is any economic loss caused to party a including the penalty for not delivering the premises to next tenant on time and rent loss, party b shall compensate such loss.

  13.3.2乙方還應拆除裝修和清理房屋(甲方同意保留裝修的除外),以甲方交付之時的狀態(tài)或雙方共同認可的狀態(tài)將房屋交還甲方(正常損耗除外)歸還房屋時留在房屋內(nèi)的所有設(shè)施、裝修及物品均視為乙方放棄所有權(quán),甲方可隨意處置。如乙方未將房屋恢復原狀,甲方可自行恢復原狀,乙方需支付全部費用,可由甲方從保證金中扣除。

  party b shall also dismantle the decoration (except for the decoration that party a agrees to retain)and clean the premises so that the premises will be returned to party a in the same condition as when delivered to party b or (fair tear and wear is excepted) party b shall be deemed waiving the title of all facilities, decoration and staff left the premises when the premises is returned to party a and party a may dispose them in any way. if party b fails to restore the premises to the condition of delivery, party a may restore the premises to the condition of delivery and party b shall bear all expenses thereof, which may be deducted from the deposit by party a.

  13.3.3除因乙方違約造成合同終止的情況以及本合同有不同規(guī)定的情況以外,甲方應將保證金返還乙方。

  party a shall refund the deposit to party b except the termination is caused by the breach of party b and otherwise provided hereunder.

  13.3.4 乙方應支付全部應付費用,包括房租、水電費、電話費等。

  party b shall pay in full amount all the due payment including rent, water and electricity fee and telephone call charge.

  13.3.5 雙方應按下列程序進行交接房屋。

  the parties shall take over the premises in accordance with the following procedure.

  十四、附則

  14.1 爭議的解決 dispute resolution

  因執(zhí)行本合同或與本合同有關(guān)的一切爭議,雙方應通過友好協(xié)商解決。協(xié)商不成的,則任何一方有權(quán)將爭議提交北京仲裁委員會仲裁裁決。仲裁程序應遵照仲裁委員會的現(xiàn)行仲裁規(guī)則進行。仲裁期間,雙方應繼續(xù)執(zhí)行本合同不涉及爭議的部分。

  any disputes arising from the execution of or in connection with this lease agreement shall be settled through friendly consultations between the parties. in case no settlement can be reached through consultations, such dispute shall be submitted to beijing arbitration committee in accordance with its rules. during the arbitration, the parties shall continue to perform the part of this lease agreement not under dispute.

  14.2 合同的修改the amendment of this lease agreement

  對本合同只可通過雙方書面修改。

  this lease agreement may be changed only by a written instrument signed by parties.

  14.3 可分性 severability

  本合同任何條款無效,不影響其他條款的效力。

  the invalidity of any part of this lease agreement shall not affect the validity of other clauses.

  14.4 文

  本合同以中文簽署。英文文本只做參考,不具有法律效力。

  this lease agreement shall be wrote in chinese. the english version is only for reference without legal effect.

  14.5 全部協(xié)議 entire agreement

  本合同有其附件構(gòu)成雙方之間就本合同所涉事項達成的全部協(xié)議,取代雙方此前就合同事項達成的所有口頭和書面協(xié)議。

  this lease agreement constitutes the entire contract between the parties with respect to the subject matter of this lease agreement and supersedes all prior understandings between them on such subject matter.

  14.6 通知 notice

  任何一方根據(jù)本合同發(fā)出的通知或其他聯(lián)系應以中文書寫并應通過專人送遞或掛號郵寄或以公認的快遞服務(wù)或以傳真(應當有發(fā)送成功的報告)發(fā)送至另一方的下述地址。通知視為有效送達的日期按以下方法予以確定:

  any notice provided for in this lease agreement shall be in chinese and shall be delivered by person, or sent by prepaid registered mail or courier, or sent by facsimile with the confirmation of successful transmission by the fax machine, transmitted or addressed to the appropriate party‘s following address. the notice shall be deemed served on the following date:

  14.6.1專人投遞的通知,視為于投遞之日送達;

  on the date of delivery if send by person;

  14.6.2 以掛號郵寄的通知,視為于投郵日(郵戳日期)后第十(10)天送達;

  on 10th day after stamp on the registered mail if send by registered mail;

  14.6.3快遞送達的通知,視為公認的快遞服務(wù)機構(gòu)發(fā)出后第三(3)天送達;on third day after the pick up by the courier if send by courier;

  14.6.4 傳真發(fā)送的能知,應視作于發(fā)送日后下一(1)個營業(yè)日送達。

  if send by facsimile, on the next working day after the transmission date.

  14.6.5如任何一方更改以上地址,需提前三十(30) 天書面通知另一方,該更改方生效。

  if either party wishes to change the above addresses, it shall notify the other party of such change thirty (30) days in advance in order that such change will be effective.
