　　8、設計項目期間乙方掛靠于甲方品牌之中，不得以乙方身份單獨與客戶簽訂任何形式的合作協議。

　　五、知識產權約定：

　　1、乙方對設計完成的作品享有著作權。甲方將委托設計的所有費用結算完畢后，乙方可將作品著作權轉讓給甲方。

　　2、甲方在未付清所有委托設計費用之前，乙方設計的作品著作權歸乙方，甲方對該作品不享有任何權利。

　　3、甲方在余款未付清之前擅自使用或者修改使用乙方設計的作品而導致的侵權，乙方有權追究其法律責任。

　　六、違約責任：

　　1、甲方在設計作品初稿完成前終止合同，其預付的費用無權要求退回；甲方在乙方作品初稿完成后終止合同的，應當支付全額的設計費用。

　　2、乙方如無正當理由提前終止合同，所收取的費用應當全部退回給甲方。

　　七、甲乙雙方如因履行本合同發生糾紛，應當友好協商解決，協商不成的，甲乙雙方任何一方均可向北京仲裁委員會提請仲裁解決。

　　3、如廣告主管登記機關認為乙方畫面應修改，乙方應進行修改，直到通過審查。

　　九、廣告效果的檢查：

　　1、乙方可以定期或不定期對廣告效果進行檢查，甲方予以配合。

　　2、廣告發布期間，由甲方做好該廣告的安全、養護及日常維修，確保其完整和燈光效果良好。一般損壞（故障），乙方應在72小時內修護；較重損壞（故障）雙方約定：因不可抗拒力因素造成的損壞，應視實際情況盡快修復；甲方每年將定期對廣告牌進行養護，乙方應予以配合，確保廣告牌的正常使用。

　　3、因廣告牌脫落、損壞導致他人權益受到損害的，責任由乙方承擔；

　　十、違約責任：

　　1、如因甲方單方面原因導致延遲發布或發布中斷發布超過72小時，每延遲或中斷1日，乙方有權扣除廣告費用的千分之一，中斷超過30日，乙方有權終止發布合同。如因乙方延遲提供審批文件或延遲支付首期款項導致發布延遲，甲方不承擔違約責任。

　　2、如乙方延遲付款超過10日，甲方有權按照每日年發布費用的千分之一加收滯納金，超過30日，甲方有權拆除廣告畫面，超過45日，甲方有權終止發布合同，前期支付費用不予退還，并有權要求支付應支付的發布費用。

　　3、合同履行期間，未經雙方同意不得解除合同，無故解除合同，違約方應向守約方支付廣告費用的10%作為賠償。如畫面制作、安裝完畢，因乙方未支付第二筆款項導致合同終止，乙方應同時賠償廣告畫面制作費用。

　　十一：不可抗力：

　　1、如因政府或地鐵主管部門因市政、公益的需要，導致發布中斷，甲方免除違約責任，中斷發布期間，可以相應順延；如中斷發布期超過3個月，乙方可以選擇終止發布合同，并不承擔違約責任。

　　2、如因廣告主管機關整治戶外廣告，導致甲方廣告位被拆除則甲方不承擔違約責任。

　　3、若發生不可抗拒力，雙方應在知情后立即協商尋找公平合理有效的解決方案，并盡一切合理的努力來減輕不可抗拒力造成的損失。

　　十二、其它：

　　1、本合同經雙方簽字蓋章有效。

　　2、本合同一式肆份，雙方各執貳份。

　　3、因本合同產生的一切爭議由雙方友好協商解決，協商不成提交合同履行地法院訴訟解決。
